    CONTRACTOR AGREEMENT

    This Contractor Agreement (the "Agreement") is made and entered into as of , by and between Hygieia Cleaning & Sanitation Services LLC, an Ohio business operating in Ohio ("Company"), and , an independent contractor ("Contractor").

    1. Scope of Work

    Contractor agrees to provide cleaning services as assigned by Company, including but not limited to general cleaning, deep cleaning, and maintenance of common areas. All work shall be completed professionally, efficiently, and to the standards set by Company.

    2. Independent Contractor Status

    Contractor is an independent contractor and not an employee of Company. Contractor is responsible for their own taxes, insurance, and compliance with applicable labor laws.

    3. Compensation

    Company shall compensate Contractor at the agreed-upon rate for each job as specified in writing by Company prior to the commencement of the job. Payment shall be made weekly every Friday for any jobs COMPLETED (not started) in the previous pay period (Sunday to Saturday). Contractor acknowledges that they are not entitled to any additional compensation for jobs that take longer than the estimated timeframe unless otherwise agreed upon in writing by Company prior to the commencement of work. Job completion must be properly verified through the app of Company’s choosing, which is used to track cleaning jobs. Verification includes properly starting and completing the task or job in the app and submitting required completion photos. Contractor understands that failure to complete these steps in the app will result in non-payment for the job until such verification is provided to the satisfaction of Company.

    4. Non-Solicitation & Client Protection

    Contractor agrees not to solicit, contact, or engage in business directly with any clients introduced to them by Company during the term of this Agreement and for a period of 5 years after termination of this Agreement. Any breach of this provision shall subject Contractor to legal action and liability for damages, including but not limited to: (i) full reimbursement of all amounts previously paid to Contractor by Company; (ii) all costs and expenses, including attorney’s fees and court costs, incurred by Company in enforcing this provision and collecting said amounts; and (iii) payment of an amount equal to the total projected value of the contractual relationship between Company and the affected client for a period of three (3) years following the date of such breach.

    5. Work Standards & Representation

    Contractor agrees to:

    • Perform all services in a professional manner and to the satisfaction of Company.
    • Represent Company in a positive and professional light at all times.
    • Wear appropriate attire and maintain a courteous demeanor with clients.
    • Follow all safety and cleaning protocols provided by Company.

    6. Scheduling & Job Completion

    Contractor shall complete all assigned work within the agreed-upon timeframe. If unable to complete a job, Contractor must notify Company in advance to allow for alternative arrangements. If Contractor fails to show up to an assigned job and provides less than 48 hours' notice, Company reserves the right to withhold a $100 missed trip fee from their following pay. If a job is assigned and accepted within 48 hours of the job date, this fee will apply if Contractor cancels at any time between accepting the assignment and the scheduled job time.

    Contractor is responsible for taking clear and sufficient photos of all completed jobs and uploading them to the application designated by Company as confirmation of job completion. Additionally, Contractor must use the application to start the "task" upon arrival at the job site and to complete the "task" upon finishing the job, including the upload of the required photos.

    7. Means of Transportation & Supplies

    Contractor is responsible for providing their own reliable and functional means of transportation to and from all job sites for the duration of this Agreement. The vehicle used must be maintained in working condition at all times.

    Contractor is also responsible for supplying their own cleaning equipment and materials necessary to perform the services, including but not limited to: a functional mop, vacuum, all-purpose cleaner, bleach-based cleaner, microfiber cloths, gloves, shoe covers, and window cleaning solution, unless otherwise agreed upon in writing by Company.

    8. Confidentiality

    Contractor agrees to maintain the confidentiality of any proprietary information, pricing structures, client details, or business practices of Company. Contractor further agrees not to disclose or discuss their agreed-upon compensation rates with any other contractors, employees, or clients of Company.

    9. Liability & Insurance

    Contractor shall, at their own expense, carry and maintain a valid general liability insurance policy with coverage limits of no less than One Million Dollars ($1,000,000) per occurrence. Contractor agrees to provide Company with a certificate of insurance or other satisfactory proof of coverage upon request. Contractor further agrees to indemnify, defend, and hold harmless Company, its officers, directors, employees, and clients from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or resulting from Contractor’s performance of services under this Agreement.

    10. FOB Deposit

    If Contractor is issued a FOB, physical key, or any other access device by Company, a $50 hold will be placed on their first payment. This amount will be refunded on their final paycheck once the FOB, physical key, or any other access device is returned in good condition.

    11. Termination

    Company may terminate this Agreement at any time and for any reason with twenty-four (24) hours’ written notice to Contractor. Contractor may terminate this Agreement with seven (7) days’ written notice but is required to complete any jobs assigned by Company that fall within the notice period. If Contractor fails to complete any assigned jobs during this period, Company reserves the right to withhold any amount, up to one hundred percent (100%) of funds owed to Contractor from the most recent (7 day) pay period. This withholding may be waived at the sole discretion of Company upon receipt of a valid doctor’s note from Contractor.

    Additionally, Company reserves the right to terminate this Agreement immediately if Contractor fails to meet performance or ethical standards or for any other reason, including but not limited to internal restructuring, downsizing, or failure to meet other standards set by Company.

    12. Governing Law

    This Agreement shall be governed by the laws of the State of Ohio. Any disputes shall be resolved in the courts of Ohio.

    13. Work Quality & Re-Work Clause

    Contractor agrees that if a job is not completed to Company’s standards or the client’s satisfaction, Contractor shall return to the site to complete the work at no additional charge. Contractor shall address any issues or deficiencies as identified by Company or the client within a reasonable timeframe. Contractor further agrees that, at the sole discretion of Company, up to eighty percent (80%) of the pay for the job in question may be deducted based on the severity of any cleaning deficiencies or client complaints.

    14. Compliance with Laws

    Contractor agrees to comply with all applicable local, state, and federal regulations, including but not limited to health and safety standards, labor laws, and any other requirements relevant to the services provided under this Agreement.

    15. Non-Compete

    Contractor agrees not to provide any cleaning or cleaning-related services, including but not limited to general common area maintenance cleaning, carpet cleaning, apartment turnover cleaning, or short-term rental cleaning, to any clients, properties, or entities for which Contractor performed work—directly or indirectly—through Company, including clients or properties serviced under subcontract by Company. This restriction shall remain in effect for a period of 5 years following the termination of this Agreement.

    16. Damage & Incident Reporting

    Contractor shall immediately report to Company any damage to property, injury, or other incident that occurs while performing the services under this Agreement. This includes incidents involving Contractor, their employees, or any third parties present at the job site.

    17. Contractor’s Employees or Helpers

    If Contractor brings any employees or helpers to perform services under this Agreement, Contractor shall notify Company in advance. All employees or helpers shall be required to follow the same guidelines, insurance requirements, and company policies as Contractor. Contractor shall be responsible for the actions and performance of any such employees or helpers.

    18. Communication Expectations

    Contractor agrees to maintain timely communication with Company, including responding to messages, calls, or emails within 24 hours. If Contractor is actively at a job site, they agree to respond to messages, calls, or emails from Company within 30 minutes. Contractor acknowledges that failure to respond promptly may affect job assignments, performance evaluations, and/or result in immediate termination of this agreement.
